These Terms of Use (“Terms of Use”) govern access to and use of the ZMProbots website, including any pages, content, forms, booking interfaces, quotations, communications, and related online services made available by BLOKGOLD LLC d/b/a ZMProbots (“ZMProbots,” “we,” “us,” or “our”).

Important: These Terms of Use govern website use. Any booking, rental, delivery, handover, use, support, collection, return, deposit, damage claim, or other robot rental matter is governed separately by the ZMProbots Rental Terms / Rental Agreement. If there is any conflict between these Terms of Use and the Rental Terms / Rental Agreement, the Rental Terms / Rental Agreement control for rental-related matters.

By accessing or using the website, you agree to these Terms of Use. If you do not agree, do not use the website.

• allow genuine rental inquiries and bookings;
• provide information about delivery, handover, operation, and related services;
• communicate with prospective or existing customers.

Nothing on the website is legal advice, engineering advice, safety certification, regulatory advice, or a guarantee that a robot will be suitable for your exact event, venue, legal environment, research project, technical workflow, or commercial purpose.

4. Changes to the Website or These Terms

We may update the website, its content, availability, product listings, prices, features, descriptions, or these Terms of Use at any time.

Changes to these Terms of Use apply to future website use after the updated version is posted. Rental-related obligations already accepted through a booking remain governed by the version of the Rental Terms / Rental Agreement accepted for that booking, unless the parties agree otherwise in writing.

5. No Reliance on Informational Content Alone

Website content, including descriptions, specifications, images, videos, examples, blog posts, FAQ content, guides, and marketing material, is provided for general information only.

Robots may vary by model, version, supplier, accessory package, firmware, market availability, region, and date. Final booking details, included items, approved location, delivery timing, deposit amount, and optional services are determined by the applicable booking confirmation and the Rental Terms / Rental Agreement.

6. Booking Interfaces and Website Accuracy

We try to keep website information accurate, but errors can occur, including errors in descriptions, technical specifications, pricing, availability, delivery estimates, images, videos, and eligibility of specific services in a given region.

Use of the website does not guarantee that a robot is available in your location or for your dates. Availability may change before or after site browsing and may depend on supplier allocation, logistics, customs, compliance, weather, local service coverage, operational feasibility, and other factors.

7. Acceptable Use

You may use the website only for lawful purposes and genuine business or consumer interactions with ZMProbots.

You must not:

1. submit false, misleading, or fraudulent inquiries or bookings;
2. impersonate another person or misrepresent your identity, authority, or organization;
3. interfere with the website’s operation, security, integrity, or availability;
4. scrape, copy, extract, index, crawl, mirror, harvest, or use website data, images, listings, prices, or content without our prior written consent, except to the limited extent automatically permitted by applicable law;
5. upload malicious code, viruses, bots, scripts, or harmful automation;
6. attempt unauthorized access to accounts, payment systems, order systems, servers, or data;
7. test, probe, or scan website vulnerabilities without written authorization;

If any customer portal, account, or saved preference feature is made available, you are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account or device, except to the extent caused by our own failure to exercise reasonable security.

We may suspend, restrict, or terminate access where we reasonably suspect fraud, abuse, unlawful activity, security risk, or breach of these Terms of Use or the Rental Terms / Rental Agreement.

10. Intellectual Property

The website and its contents, including text, graphics, design, logos, branding, code, layout, product presentation, photos, videos, icons, custom copy, and compilations, are owned by or licensed to ZMProbots and are protected by applicable intellectual property laws.

Except for limited personal or internal business review in connection with a genuine inquiry or booking, you may not reproduce, republish, distribute, modify, create derivative works from, publicly display, publicly perform, sell, license, or exploit website content without prior written permission.

11. Trademarks

ZMProbots, related logos, branding elements, and associated marks are trademarks, trade names, or branding assets of ZMProbots or its licensors. Nothing on the website grants any right to use them without prior written permission.

Third-party brand names, model names, and supplier marks remain the property of their respective owners and are used for identification purposes only.

12. Privacy

Use of the website is also subject to the ZMProbots Privacy Policy, which explains how we collect, use, store, and disclose personal data.

Where the website permits payment, payments are processed through approved third-party providers such as Stripe. We do not store full payment card numbers on our own servers.

Your payment may also be subject to the payment processor’s terms, fraud controls, verification requirements, and processing rules.

15. Disclaimers About Website Availability

The website may be interrupted, delayed, suspended, restricted, or unavailable from time to time because of maintenance, updates, hosting issues, network issues, supplier feeds, force majeure events, cyber incidents, browser issues, or other reasons.

WE DO NOT WARRANT THAT THE WEBSITE WILL MEET YOUR REQUIREMENTS, THAT ANY INFORMATION WILL BE COMPLETE OR ERROR-FREE, OR THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, TIMELY, SECURE, OR FREE OF DEFECTS.

This section applies only to website use. Rental-related rights and limitations are governed separately by the Rental Terms / Rental Agreement.

17. Limitation of Liability for Website Use

To the fullest extent permitted by law, ZMProbots and its officers, managers, employees, contractors, agents, affiliates, suppliers, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to website use, including lost profits, lost data, lost opportunities, reputational harm, business interruption, or third-party claims.

To the fullest extent permitted by law, the total aggregate liability of ZMProbots arising out of or relating to website use will not exceed the greater of:

1. USD 100; or
2. the amount, if any, that you paid directly to ZMProbots solely for website use itself during the 3 months before the event giving rise to the claim.

This limitation does not limit any liability that cannot legally be excluded or limited.

18. Indemnity

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless ZMProbots and its officers, managers, employees, contractors, partners, suppliers, licensors, and service providers from and against any claims, liabilities, damages, losses, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

1. your breach of these Terms of Use;
2. your misuse of the website;
3. your unlawful content, submissions, or conduct;
4. your violation of any law or third-party right.

19. Suspension or Termination

We may suspend, restrict, refuse, or terminate website access, inquiries, or use privileges at any time where we reasonably believe it is necessary to protect the website, our business, our customers, our suppliers, or third parties, or where we suspect fraud, misuse, unlawful conduct, or breach of these Terms of Use.

20. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules, except to the extent mandatory non-waivable law requires otherwise.

Any dispute arising out of or relating to these Terms of Use or website use must be brought exclusively in the state or federal courts located in Wyoming, USA, and each party submits to that jurisdiction and venue, except where non-waivable law requires otherwise.

21. International Use

We may make the website accessible internationally, but we do not represent that website content, product availability, or services are lawful, appropriate, or available in every country or region.

You are responsible for complying with all laws applicable to your location and conduct.

22. Force Majeure

We are not liable for any delay, interruption, or failure affecting the website caused by events beyond our reasonable control, including supplier failures, internet outages, cyber incidents, hosting failures, governmental actions, customs delays, sanctions, labor issues, transportation disruptions, natural disasters, war, civil unrest, epidemics, pandemics, utility failures, or force majeure events.

23. Entire Agreement for Website Use

These Terms of Use, together with the Privacy Policy and any other website policy expressly incorporated for website use, form the entire agreement between you and ZMProbots concerning website use only.

They do not replace the Rental Terms / Rental Agreement for any booking or rental.

24. Severability

If any provision of these Terms of Use is found unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

25. No Waiver

Any failure by ZMProbots to enforce any provision of these Terms of Use is not a waiver of that provision or any other provision.

26. Assignment

You may not assign or transfer your rights or obligations under these Terms of Use without our prior written consent.

We may assign or transfer our rights or obligations under these Terms of Use to an affiliate, successor, purchaser, or reorganized entity.
