Rental Terms Agreement
Effective Date: April 18, 2025
These Rental Terms / Rental Agreement (“Agreement”) govern every booking, payment, rental, delivery, handover, setup service, support interaction, use, possession, transport, collection, return, extension, cancellation, deposit deduction, damage claim, loss event, theft claim, and dispute relating to any robot or related equipment arranged through BLOKGOLD LLC d/b/a ZMProbots (“ZMProbots,” “we,” “us,” or “our”).
This Agreement is a binding contract between ZMProbots and the customer identified in the booking (“Customer,” “you,” or “your”).
By clicking to accept this Agreement, placing a booking, completing payment, paying a Security Deposit, requesting delivery, confirming delivery details, accepting delivery, signing any handover record, allowing anyone to take possession of the Equipment on your behalf, or using any Equipment, you agree to be bound by this Agreement.

Unless we expressly state otherwise in writing, ZMProbots is the customer-facing contracting party for bookings, billing, payment collection, Security Deposit handling, delivery coordination, handover, support, collection, inspection, return handling, and dispute handling.
Robots and related equipment may be sourced, supplied, stored, transported, delivered, serviced, or collected by a supplier, owner, logistics company, service partner, or subcontractor acting for or with ZMProbots. Those arrangements do not change the fact that this Agreement is between you and ZMProbots.
2. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into a binding contract.
If you enter into this Agreement on behalf of a company, institution, school, university, agency, production company, venue, organizer, or other entity, you represent and warrant that you have full authority to bind that entity, and references to “Customer” include that entity and all persons acting through it.
3. Definitions
For purposes of this Agreement:
“Equipment” means the rented robot together with all included or added accessories, batteries, chargers, controllers, cases, stands, transport materials, manuals, peripherals, branded packaging, storage materials, and any other item supplied under the booking.
“Booking” means a completed online order for one robot for a stated rental period, together with any selected extras, services, add-ons, and the applicable booking confirmation.
“Rental Period” means the period reserved in the Booking, including any approved extension, and not merely the time during which the Equipment is actively used.
“Security Deposit” means the refundable deposit charged at checkout in addition to the rental charges and any optional services.
“Approved Location” means the delivery location, event venue, city, and local service area approved by ZMProbots for the Booking.
“Approved Use” means lawful, careful, adult-supervised, model-appropriate, and location-approved use of the Equipment in accordance with this Agreement, the Booking, any instructions we provide, any handover materials, and any model-specific restrictions.
“Included Damage Protection” means the limited contractual protection described in Section 17. It is not sold, described, or provided to the Customer as insurance.
“Excluded Event” means any event, act, omission, use, condition, or claim outside the scope of Included Damage Protection, including intentional damage, misuse, reckless use, prohibited use, non-return, disappearance, missing items, theft without a proper police report, tampering, unauthorized repair, unauthorized movement, operation by unauthorized persons, unlawful use, sanction/export breach, or any other excluded matter under this Agreement.
“Handover Record” means any delivery receipt, checklist, inspection form, condition report, item list, identity confirmation, photo record, or acceptance record used at or around delivery.
4. Agreement Structure and Order of Priority
This Agreement governs every Booking unless we expressly agree otherwise in writing.
The following are incorporated into and form part of this Agreement:
- the Booking confirmation;
- the order summary shown at checkout;
- any model-specific operating rules or written instructions we provide;
- any Handover Record;
- any written special approval issued by ZMProbots.
If there is a conflict, the order of priority is:
- a written special approval signed or clearly issued by ZMProbots;
- the Booking confirmation and order summary;
- this Agreement;
- general website content, FAQ content, or marketing material.
5. One Robot Per Booking
Each Booking applies to one robot only.
If you want more than one robot, each robot must be booked separately and each Booking will have its own price, Security Deposit, optional services, contract record, and operational handling.
6. Minimum and Maximum Rental Period
The minimum Rental Period is 3 days.
The maximum Rental Period is 30 days, unless we expressly approve a longer term in writing.
7. Booking Confirmation
A Booking is confirmed once payment is successfully completed online.
However, even after confirmation, ZMProbots may still refuse, reschedule, substitute, suspend, or cancel fulfillment where reasonably necessary because of fraud concerns, sanctions concerns, export or customs issues, supplier unavailability, technical unavailability, force majeure, safety concerns, legal restrictions, or other circumstances beyond our reasonable control. In that case, our obligations and your remedies are governed by this Agreement.
8. Pricing and Payment
8.1 Payment at Checkout
At checkout, you must pay in full:
- the rental charges for the full reserved Rental Period;
- the Security Deposit;
- any optional extras, add-ons, or one-time services selected by you; and
- any taxes, duties, or mandatory charges presented at checkout.
8.2 Online Payment Only
Payments are accepted online only through approved payment channels, including Stripe or a Stripe-supported payment method. We do not accept cash on delivery.
8.3 No Offset
You may not withhold, offset, reverse, or reduce any amount owed under this Agreement except as required by mandatory law.
8.4 Additional Amounts Owed
If the Security Deposit is insufficient to cover amounts lawfully owed under this Agreement, you must pay the balance immediately upon demand and, in any event, within 5 calendar days after invoice, notice, or payment link is sent by ZMProbots.
9. Security Deposit
9.1 Purpose
The Security Deposit secures your performance of this Agreement and may be applied to any amount validly owed by you, including damage, loss, missing items, unpaid charges, late return charges, failed collection charges, recovery costs, cleaning costs, logistics costs, storage costs, customs or governmental costs caused by you, or any other amount properly due under this Agreement.
9.2 No Interest
The Security Deposit is non-interest-bearing.
9.3 Refund Timing
If no valid deduction applies, refundable Security Deposit amounts are typically returned within 5 to 7 working days after collection, return handling, and inspection, to the same payment method where reasonably possible.
9.4 Partial Refunds
If only part of the Security Deposit is retained, we may return the undisputed balance first and hold the remaining amount pending reasonable inspection, quotation, invoice, or claim review.
10. Delivery and Collection
10.1 Included in Booking Price
Delivery and collection are included in the Booking price unless we expressly state otherwise in writing.
10.2 Delivery by ZMProbots or Partner
Delivery, setup, collection, inspection support, or logistics may be handled by ZMProbots or by a supplier, service partner, logistics provider, or subcontractor appointed by ZMProbots.
10.3 No Weekend or Public Holiday Delivery / Collection
We do not normally deliver or collect on weekends or public holidays. Delivery and collection dates may therefore move earlier or later where weekends or public holidays affect the schedule.
10.4 Service Area and Feasibility
Delivery and collection are subject to operational feasibility, local access, building rules, customs, local law, weather, safety conditions, and service coverage in the relevant city or region.
11. Mandatory Pre-Delivery Confirmation
11.1 Customer Must Confirm in Advance
At least approximately 24 hours before the scheduled delivery, you must confirm all of the following when requested by ZMProbots:
- the exact delivery location;
- the delivery timing window;
- your own personal presence for handover;
- that you remain ready to receive the Equipment;
- that access to the location is available and lawful.
11.2 No Delivery Without Confirmation
If you do not provide the required pre-delivery confirmation, we are not required to dispatch or complete delivery.
11.3 Consequences of Failure to Confirm
If delivery does not take place because you fail to give timely confirmation, fail to remain reachable, fail to confirm presence, or provide uncertain or conflicting location/timing information, the Booking will be treated as a customer-caused failed delivery / failed handover. In that case:
- the rental payment remains non-refundable;
- optional service fees already incurred remain non-refundable;
- the Security Deposit will be refunded only to the extent no valid deduction applies; and
- any actual extra costs caused by your failure may be deducted from the Security Deposit or invoiced separately.
12. Identity, Recipient, and Handover Requirements
12.1 Same Contracting Person
The person receiving the Equipment must be the same person or authorized representative identified in the Booking, unless ZMProbots approves an alternative in writing before delivery.
12.2 ID Verification
Government-issued photo identification may be required at delivery.
12.3 Signature Required
You must sign any required Handover Record, item list, condition confirmation, or receipt at delivery.
12.4 No Handover to Unauthorized Person
We may refuse handover if:
- the recipient does not match the Booking details;
- the recipient cannot provide satisfactory ID;
- the recipient appears underage, impaired, unsafe, or unauthorized;
- the recipient refuses to sign required delivery documents; or
- the handover location or circumstances are unsafe or inconsistent with the Booking.
12.5 Customer-Caused Failed Delivery / Failed Handover
If delivery or handover fails because of wrong address, missing recipient, unavailable access, ID mismatch, refusal to sign, unsafe conditions, or any other cause attributable to you, it will be treated as a customer-caused failed delivery / failed handover, and the rental payment remains non-refundable. The Security Deposit will be handled separately subject to any valid deduction.
13. Handover, Acceptance, and Start of Responsibility
13.1 Handover Record
At or around delivery, we may use photographs, videos, item lists, serial number records, packaging records, condition notes, or digital or paper forms as part of the Handover Record.
13.2 Acceptance
You accept the Equipment when any of the following occurs:
- you sign the Handover Record;
- you or your representative take possession of the Equipment;
- the Equipment is left with you or your approved representative at the agreed location in accordance with an approved handover method; or
- you begin using the Equipment.
13.3 Risk During Possession
From acceptance until collection or redelivery back into our actual control, you bear full responsibility for possession, supervision, movement, safekeeping, lawful use, environmental protection, crowd interaction, transport by you, and return of the Equipment, subject only to the limited Included Damage Protection expressly described in Section 17.
13.4 Hidden Defect Notice Window
Any visible condition issue must be raised at handover. Any non-obvious material issue that you believe existed at delivery must be reported to us promptly and, in any event, before first active deployment and no later than 12 hours after handover. Failure to do so creates a rebuttable presumption that the Equipment was delivered in the condition reflected in the Handover Record.
14. Ownership and No Transfer of Title
The Equipment remains our property or the property of our supplier/partner at all times. You receive only a temporary, limited right to possess and use the Equipment under this Agreement.
You must not sell, pledge, mortgage, lend, sub-rent, assign, transfer, encumber, or allow any lien or claim against the Equipment.
15. Approved Use
15.1 General Standard
You must use the Equipment lawfully, carefully, and only for Approved Use.
15.2 Permitted Commercial and Event Use
Unless we state otherwise in writing for a specific model or Booking, lawful use at public events, exhibitions, malls, weddings, schools, educational settings, productions, activations, and outdoor shoots may be permitted, provided the use remains safe, supervised, and consistent with this Agreement and any model-specific instructions.
15.3 Adult Supervision
The Equipment must be operated, monitored, and supervised by adults aged 18 or over at all times.
15.4 Venue and Permission Responsibility
You are solely responsible for all venue permissions, organizer approvals, filming approvals, privacy notices, public-safety measures, crowd control, barriers, supervision, event compliance, and legal permissions required for your intended use.
15.5 Environmental Conditions
You must protect the Equipment from unsuitable conditions, including avoidable liquid, rain, splashing, flooding, excessive dust, sand, smoke, fire risk, severe moisture, extreme heat, extreme cold, unstable flooring, unsafe slopes, unstable platforms, hazardous atmospheres, or other conditions inconsistent with the Equipment’s instructions.
15.6 No Dangerous or Sensitive Use
You must not use the Equipment:
- for any illegal purpose;
- as a medical device or emergency device;
- as a weapon, security weapon, or law-enforcement tool;
- in a manner likely to endanger persons, animals, or property;
- in a way that violates privacy, publicity, biometric, surveillance, labor, education, child-protection, or consumer-protection laws;
- in sanctioned, embargoed, or otherwise prohibited jurisdictions or transactions.
16. Prohibited Acts
You must not, and must not allow any other person to:
- operate the Equipment in a reckless, abusive, illegal, or unauthorized manner;
- use the Equipment outside the Approved Location or Approved Use;
- move the Equipment outside the original booking city or approved local service area without our prior written approval;
- move the Equipment outside the country without our prior written approval;
- lend, loan, sub-rent, share for compensation, assign, or transfer possession to any third party;
- open the casing, remove covers, remove labels, remove serial numbers, or access internal components;
- modify hardware, replace parts, attach unauthorized accessories, or make unauthorized mechanical or electrical changes;
- install, modify, update, downgrade, reset, bypass, root, jailbreak, or tamper with software, firmware, operating systems, access controls, or admin settings;
- attempt any repair, service, troubleshooting beyond ordinary user-level instructions, or maintenance other than as expressly instructed by ZMProbots;
- disable tracking, safety features, or security controls;
- use the Equipment while impaired by alcohol, drugs, or any condition reducing safe operation;
- allow minors to operate the Equipment;
- use the Equipment in a manner inconsistent with any written instruction we provide.
Any prohibited act is a material breach of this Agreement and may convert an incident into an Excluded Event.
17. Included Damage Protection
17.1 What It Is
Included Damage Protection is a limited contractual protection provided by ZMProbots for the benefit of the Customer under this Agreement. It is not described to the Customer as insurance, is not sold by ZMProbots as insurance, and does not create any direct rights by the Customer against any third-party insurer.
17.2 Deposit Cap for Covered Accidental Physical Damage
For covered accidental physical damage to the Equipment occurring during normal Approved Use, your financial responsibility is capped at the Security Deposit.
17.3 What Is Not Covered
Included Damage Protection does not apply to any Excluded Event, including:
- theft, disappearance, unexplained loss, or non-return;
- missing accessories, chargers, batteries, controllers, packaging, transport materials, or other included items;
- intentional damage;
- misuse, abuse, reckless use, or prohibited use;
- unauthorized movement to another city, service area, or country;
- operation by unauthorized persons;
- tampering, unauthorized repair, or software/firmware modification;
- operation in prohibited or unsuitable environmental conditions;
- unlawful use or use causing privacy or regulatory violations;
- any claim not supported by required evidence or documentation, including a required police report.
17.4 No Cap for Excluded Events
For any Excluded Event, the Security Deposit is not your maximum liability. We may retain the Security Deposit and pursue you for additional losses, costs, fees, taxes, duties, recovery expenses, logistics costs, storage costs, legal costs where recoverable, and any other amount lawfully owed.
18. Loss, Theft, Disappearance, and Police Reports
18.1 Immediate Notice
You must notify ZMProbots immediately if the Equipment is lost, stolen, missing, not recoverable, confiscated, detained, materially damaged, or involved in an accident, police matter, or third-party incident.
18.2 Required Police Report
If there is any theft, suspected theft, robbery, disappearance, or criminal incident, you must obtain and provide a genuine written police report as soon as reasonably possible and, unless impossible, within 24 hours of discovery.
18.3 Cooperation
You must fully cooperate with ZMProbots and any insurer, investigator, police authority, customs authority, venue, or logistics provider in investigating the incident, including by providing statements, photos, videos, witness details, timeline details, access records, location details, and any requested supporting evidence.
18.4 Failure to Provide Police Report
If a proper police report is not provided when required, or if the report is false, misleading, incomplete, or insufficient to support the claim, the event will be treated as an Excluded Event, and we may treat the Equipment as not properly returned.
19. Customer Liability for Third-Party Claims
You are solely responsible for all third-party injury, death, property damage, venue damage, privacy complaints, surveillance claims, data complaints, regulatory complaints, event claims, and other claims arising out of or relating to your possession, use, operation, supervision, transport, or return of the Equipment, except to the extent finally determined by a court of competent jurisdiction to have been caused solely by ZMProbots’ gross negligence or willful misconduct.
20. Support and Technical Issues
20.1 Type of Support
Unless otherwise stated in your Booking, support is provided on a reasonable-efforts basis and may include remote guidance by phone, email, messaging, or video. On-site support is not guaranteed and is provided only if separately purchased, separately approved, or operationally feasible.
20.2 Certified Operator Setup
If purchased, Certified Operator Setup is a one-time service for unboxing, powering on, basic setup guidance, handover support, and up to the stated time of basic training or assistance. It is not a guarantee of event success, not ongoing supervision, not a certification of the Customer, and not an assumption by ZMProbots of operational responsibility after handover.
20.3 No Uninterrupted Operation Guarantee
Robots are advanced technical systems. We do not guarantee uninterrupted, error-free, bug-free, latency-free, battery-perfect, network-perfect, firmware-perfect, or venue-perfect operation.
20.4 Your Duty When a Problem Occurs
If a technical issue occurs, you must:
- stop any unsafe use immediately;
- follow our reasonable instructions;
- not attempt unauthorized repair, opening, or modification;
- preserve the Equipment and evidence;
- provide accurate details and reasonable troubleshooting cooperation.
20.5 Our Remedy for Verified Non-Customer-Caused Material Fault
If we reasonably determine that a material technical fault existed that was not caused by you and that substantially prevented intended use during the Rental Period, our sole obligation and your exclusive remedy will be one or more of the following, at our option:
- remote troubleshooting;
- reasonable repair;
- replacement or substitute equipment if available;
- extension or rescheduling;
- store credit; or
- a reasonable pro-rated refund for the affected unused portion of the Rental Period.
You are not entitled to any additional compensation for lost profits, lost shoots, lost business, lost event value, reputational harm, consequential loss, or third-party claims.
21. Customer Transport and Movement Restrictions
21.1 Movement Within Approved Area Only
After handover, any movement by you is at your own risk and responsibility. You may move the Equipment only within the Approved Location, original booking city, or approved local service area.
21.2 No Out-of-Area or Cross-Border Movement
You must not move the Equipment outside the Approved Location, outside the original booking city/service area, or outside the country without our prior written approval.
21.3 Consequences of Unauthorized Movement
Unauthorized movement is a material breach of this Agreement and any resulting incident will be treated as an Excluded Event.
22. Data, Privacy, Recording, and Compliance
You are solely responsible for lawful use of any cameras, microphones, sensors, recording functions, telemetry, speakers, displays, or interactive functions of the Equipment while in your possession.
You must provide all required notices, obtain all required consents, comply with privacy, recording, surveillance, biometric, child-protection, education, employment, venue, and consumer laws, and ensure that your use does not unlawfully monitor, record, identify, profile, or harm any person.
Unless prohibited by law, we may access technical logs, diagnostic data, incident information, location-related information, and device records as reasonably necessary for support, recovery, compliance, or dispute handling.
23. Return, Collection, and Customer Duties at End of Rental
23.1 Return Condition
You must return the Equipment in substantially the same condition recorded at handover, allowing only Normal Approved Wear.
23.2 Included Items
You must return all included items, accessories, packaging, transport materials, chargers, batteries, manuals, and add-ons supplied with the Equipment.
23.3 Make Equipment Available
You must make the Equipment fully packed or otherwise ready for collection, accessible, and available during the agreed collection window or return deadline.
23.4 No Abandonment
You must not leave the Equipment unattended for collection unless we expressly approve that method in writing.
23.5 Inspection at or After Collection
We may inspect the Equipment at collection and may also perform a more detailed inspection after collection, unpacking, cleaning, charging, testing, servicing, or return handling.
24. Late Return, Failed Collection, and Recovery Rights
24.1 Late Return
A rental is late if the Equipment is not made available for collection during the agreed collection window or is not returned by the agreed return deadline.
24.2 Charges
Late return may be charged at one extra rental day for each extra day or part day, plus any actual logistics, storage, rescheduling, failed collection, recovery, admin, customs, or other operational costs caused by the delay.
24.3 Continued Risk
Your responsibility continues until the Equipment is actually collected or otherwise returned into our control.
24.4 Recovery
If the Equipment is withheld, concealed, abandoned, not made available, or not returned, we may take lawful recovery steps and recover the related costs from you.
25. Early Return
If you return the Equipment before the end of the reserved Rental Period, no refund, credit, or reduction is owed unless ZMProbots expressly agrees otherwise in writing. The Booking reserves the Equipment for the full Rental Period, not merely for the time actually used.
26. Cancellation Policy
26.1 Free Cancellation Window
You may cancel a Booking for a full rental-charge refund within 24 hours after booking, provided dispatch has not begun.
26.2 Cancellation More Than 48 Hours Before Delivery
After the first 24 hours, but still more than 48 hours before delivery, cancellation is permitted subject to a USD 300 cancellation fee.
26.3 Cancellation Within 48 Hours of Delivery
Within 48 hours before delivery, rental payments are non-refundable.
26.4 Dispatch Begun or Customer-Caused Failed Delivery
If dispatch has begun, or if delivery/handover fails because of your acts or omissions, rental payments are non-refundable.
26.5 Security Deposit Handling
The Security Deposit is handled separately and may be refunded to the extent no valid deduction applies.
26.6 Meaning of Dispatch
For this Agreement, dispatch may include reasonable operational commitment steps such as confirmed scheduling with a supplier or logistics partner, release of the Equipment for transport preparation, route allocation, courier handoff, local dispatch preparation, or similar fulfillment steps.
27. Rescheduling
27.1 Request Only
Rescheduling is not automatic and is available only if requested by you and approved by ZMProbots.
27.2 Subject to Availability and Operations
Any rescheduling depends on availability of the Equipment, suppliers, technicians, delivery routes, local service coverage, and operational feasibility.
27.3 Denied Reschedule Request
If a reschedule request cannot be approved, the original Booking remains in effect unless it is separately cancelled under the cancellation rules above.
27.4 Late Requests
Rescheduling is not guaranteed within 48 hours of delivery and may be refused entirely.
28. Extensions
28.1 No Automatic Right
You have no automatic right to extend the Rental Period.
28.2 Request Before End of Rental
Any extension request must be made before the original Rental Period ends.
28.3 Approval and Payment Required
An extension exists only when ZMProbots confirms it and the required additional amount is paid online in full.
28.4 Original Deadline Continues Until Confirmed
Until an extension is expressly confirmed by ZMProbots, the original return deadline remains binding.
29. If ZMProbots Cannot Fulfill
If, after Booking confirmation, ZMProbots reasonably determines that it cannot fulfill the Booking as planned because of supplier withdrawal, technical unavailability, force majeure, legal restriction, customs problem, service-area impossibility, transport disruption, or similar operational cause not caused by you, ZMProbots may, at its option:
- offer a substitute or equivalent unit;
- offer a revised date;
- issue store credit; or
- cancel the affected Booking and refund the rental charges and any refundable Security Deposit actually received for the unfulfilled Booking.
This section states your sole remedy for ZMProbots’ inability to fulfill caused by such events.
30. Inspection, Evidence, and Deposit Deductions
30.1 Basis for Deductions
We may deduct from the Security Deposit any amount validly owed under this Agreement.
30.2 Sources of Evidence
We may rely on photographs, videos, handover forms, serial number records, missing item checklists, technician reports, supplier statements, repair quotations, replacement invoices, shipping records, collection reports, police reports, customs records, and other reasonably relevant evidence.
30.3 Normal Approved Wear
Normal Approved Wear means ordinary minor wear consistent with careful Approved Use during the booked Rental Period and does not include cracks, breaks, water exposure, cosmetic gouging, missing parts, sensor damage, unauthorized stickers or adhesives, torn cables, damaged packaging, or any condition beyond ordinary careful use.
30.4 Amounts Above Deposit
If valid charges exceed the Security Deposit, you remain liable for the excess.
31. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY LAW, THE EQUIPMENT AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT. ZMPROBOTS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
ZMPROBOTS DOES NOT WARRANT THAT THE EQUIPMENT WILL BE ERROR-FREE, UNINTERRUPTED, PERFECTLY COMPATIBLE WITH YOUR VENUE OR PURPOSE, OR SUITABLE FOR ANY PARTICULAR COMMERCIAL, EVENT, LEGAL, TECHNICAL, RESEARCH, OR PERSONAL OBJECTIVE.
Nothing in this Agreement excludes any warranty that cannot lawfully be excluded.
32. Limitation of Liability
To the fullest extent permitted by law, ZMProbots and its officers, managers, employees, contractors, partners, suppliers, service providers, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost event value, lost business, lost production time, lost data, reputational harm, business interruption, substitute costs, or third-party claims arising out of or relating to the Booking, Equipment, delivery, delay, handover, support, use, collection, return, or this Agreement.
To the fullest extent permitted by law, the total liability of ZMProbots arising out of or relating to a specific Booking will not exceed the rental charges actually paid by the Customer for that Booking, excluding the Security Deposit except to the extent the Security Deposit must be refunded.
Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited.
33. Customer Indemnity
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless ZMProbots and its officers, managers, employees, contractors, partners, suppliers, service providers, and agents from and against any claims, liabilities, damages, losses, penalties, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees where recoverable, arising out of or relating to:
- your breach of this Agreement;
- your possession, operation, transport, supervision, movement, storage, or return of the Equipment;
- injury to persons, animals, or property during your control of the Equipment;
- privacy, surveillance, biometric, recording, or data claims caused by your use;
- venue, event, school, mall, wedding, exhibition, or public-space claims arising from your use;
- your violation of law or third-party rights.
This indemnity does not apply to the extent finally determined by a court of competent jurisdiction to have been caused solely by ZMProbots’ gross negligence or willful misconduct.
34. Compliance With Law, Export Rules, and Sanctions
You must comply with all laws applicable to the Booking, location, transport, use, and return of the Equipment.
You must not export, re-export, move across borders, transfer to restricted persons, or use the Equipment in violation of export controls, sanctions laws, customs laws, or other trade restrictions. Any such conduct is a material breach and an Excluded Event.
35. Fraud, Chargebacks, and Payment Reversals
You must not initiate an improper chargeback, payment reversal, or false fraud claim.
If you do, we may contest the chargeback, suspend services, retain or apply the Security Deposit to the extent permitted by law, and recover resulting losses, fees, and costs.
36. Electronic Contracting
You agree that this Agreement may be accepted electronically and that electronic records, online checkboxes, electronic signatures, digital approvals, digital receipts, stored order records, emails, and platform logs may be used as evidence of your assent, Booking, payment, notices, and performance.
You agree to retain or print a copy of this Agreement and your Booking confirmation for your records.
37. Notices
We may give you notices by email, website posting, booking portal, messaging service, or other contact method provided by you.
You are responsible for keeping your contact details current and for reviewing communications related to your Booking.
38. Governing Law and Exclusive Jurisdiction
This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules, except to the extent mandatory non-waivable law requires otherwise.
Any dispute arising out of or relating to this Agreement, the Booking, the Equipment, payment, deposit, delivery, use, return, or any related matter must be brought exclusively in the state or federal courts located in Wyoming, USA, and each party submits to that jurisdiction and venue, except where non-waivable law requires otherwise.
39. Force Majeure
ZMProbots is not liable for any delay, rescheduling, inability to perform, substitute fulfillment, reduced support, or cancellation caused by events beyond its reasonable control, including supplier failure, owner withdrawal, weather, transport disruption, customs delay, border restrictions, sanctions, strikes, labor issues, war, terrorism, civil unrest, natural disasters, epidemic or pandemic events, utility failures, cyber incidents, government action, venue restrictions, or other force majeure events.
40. Assignment
You may not assign, transfer, delegate, or sublicense any right or obligation under this Agreement without our prior written consent.
We may assign or transfer this Agreement or any rights under it to an affiliate, successor, purchaser, financier, or service partner.
41. Entire Agreement
This Agreement, together with the incorporated Booking materials described in Section 4, forms the entire agreement between you and ZMProbots for the relevant Booking and supersedes prior discussions relating to that Booking.
42. No Waiver
Any failure by ZMProbots to enforce any provision of this Agreement is not a waiver of that provision or any other provision.
43. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.
44. Survival
Any provisions that by their nature should survive termination, cancellation, expiration, collection, return, or dispute will survive, including payment obligations, deposit rights, liability allocations, indemnities, warranty disclaimers, governing law, jurisdiction, evidence provisions, and recovery rights.
